These Terms of Sale define the terms and conditions under which Novalta Consulting provides its services. Any order implies full acceptance of these terms.

1. Purpose

These Terms of Sale define the terms and conditions under which Novalta Consulting provides its services, including:

  • Support for training providers (Qualiopi, EDOF, administrative and pedagogical structuring)
  • Strategic consulting
  • Website and application creation
  • Application development and digital solutions
  • Training services

Any order implies full acceptance of these Terms of Sale.

2. Services

Services are described in the quotes or commercial proposals provided to the customer.

Novalta Consulting undertakes to use all necessary means to properly deliver the services, without an obligation of result.

3. Order

The order is validated upon receipt of:

  • The signed quote with the mention “approved”
  • And the deposit payment (where applicable)
  • Or the signature of the contract

Any order constitutes acceptance of these Terms of Sale.

4. Prices

Prices are expressed in euros, excluding taxes or including taxes depending on the company’s status.

Rates are those in force on the order date.

Novalta Consulting reserves the right to change its prices at any time, without affecting validated orders.

5. Payment terms

For any one-off order above 3,000 euros:

  • Deposit of 30% to 50% at order time
  • Balance upon delivery or according to the agreed schedule

For recurring packages:

An invoice will be issued with a 30 calendar-day due date.

Payments can be made by bank transfer.

6. Late payment

In case of late payment:

  • Late penalties will apply (legal rate in force)
  • A fixed compensation of €40 for recovery costs will be due

Novalta Consulting reserves the right to suspend ongoing services.

7. Timelines

Delivery times are provided for information purposes only.

They may be adjusted depending on:

  • Customer responsiveness
  • Project complexity
  • Availability of required materials
  • Processing times of public organizations

8. Customer obligations

The customer undertakes to:

  • Provide the information necessary to perform the services
  • Collaborate actively
  • Respect validation deadlines

Any delay attributable to the customer may lead to timeline adjustments.

9. Liability

Novalta Consulting is bound by a best-efforts obligation.

Its liability cannot be engaged in case of:

  • Inappropriate use of deliverables
  • Failure to follow recommendations
  • Indirect damages

10. Intellectual property

Creations remain the property of Novalta Consulting until full payment is received.

After payment:

  • Usage rights are granted to the customer
  • Unless otherwise stated in the quote

11. Scope of services

Web services (websites, applications)

Website and application creation services do not include, unless otherwise stated:

  • Hosting
  • Domain name
  • Paid licenses or plugins
  • Costs related to third-party services

The customer remains responsible for the content published on their website.

Training-provider services

Services related to training organizations do not include, unless otherwise stated:

  • Any costs borne by the customer
  • Certification body fees
  • CRM costs
  • External providers not part of Novalta Consulting

12. Maintenance and evolutions

Any modification, maintenance or evolution request not included in the initial quote will be billed additionally.

13. Termination

In case of cancellation by the customer:

  • The deposit remains acquired
  • Work already performed will be invoiced

Novalta Consulting may terminate the contract in case of non-compliance with customer obligations.

14. Personal data

Personal data collected is used only within the business relationship.

It is processed in accordance with applicable regulations (GDPR).

15. Disputes

These Terms of Sale are governed by French law.

In case of dispute, an amicable solution will be sought as a priority.

Failing that, the competent courts in the Toulouse jurisdiction shall have exclusive jurisdiction.

In accordance with the French Consumer Code provisions on amicable dispute resolution, Novalta Consulting uses a mediation service: CMAP (www.cmap.fr).
